Affiliate Agreement

1. Agreement
This Affiliate Agreement (the "Agreement") is between Viral Bricks LLC ("Viral Bricks LLC", "we", "us" or "our") and each person accepted into the Sovereign affiliate program (an "Affiliate" or "you"). By promoting Sovereign (the "Service") as an Affiliate, you agree to this Agreement. This Agreement applies in addition to our Terms of Service and our Earnings Disclaimer.
2. Commissions
Commission rates are set for each Affiliate individually in Whop. Viral Bricks LLC may change or end any commission rate or arrangement by giving the Affiliate notice. Commissions are earned only on payments that Viral Bricks LLC has actually collected from referred Members.
3. Refunds and Chargebacks
Any commission paid or credited on a payment that is later refunded, reversed or subject to a chargeback will be reversed. Viral Bricks LLC may recover any such commission from the Affiliate, including by deducting it from future commissions.
4. Payouts
Commissions are paid out through Whop and are subject to Whop's terms and payout procedures. Viral Bricks LLC is not responsible for any delay, fee or failure caused by Whop or by the Affiliate's payout details.
5. Prohibited Practices
Affiliates must not:
- refer themselves, or earn commission on their own membership;
- create or use fake, duplicate or fraudulent accounts;
- send spam or unsolicited messages of any kind to promote the Service; or
- run paid advertising that bids on the term "Sovereign", or on any variation or misspelling of it.
6. Disclosure
Every promotion of the Service by an Affiliate must include a clear and conspicuous disclosure of the Affiliate relationship, as required by the guidelines of the U.S. Federal Trade Commission (FTC).
7. Earnings Claims
Affiliates must not make any income or earnings claim about the Service beyond what is stated in our Earnings Disclaimer, and must not promise or imply that any person will earn a profit from using the Service.
8. Independent Contractor
Each Affiliate is an independent contractor and not an employee, partner, agent or joint venturer of Viral Bricks LLC. Affiliates have no authority to bind Viral Bricks LLC and are solely responsible for their own taxes on any commissions received.
9. Termination
Viral Bricks LLC may terminate any Affiliate's participation in the affiliate program for breach of this Agreement. Any commission connected with fraud or with a breach of this Agreement is forfeited.
10. Governing Law
This Agreement is governed by the laws of the State of Oregon.
