Sovereign End User License Agreement

1. Agreement and Acceptance
This End User License Agreement (the "Agreement") is a binding agreement between Viral Bricks LLC ("Viral Bricks LLC", "we", "us" or "our") and each person who joins or uses Sovereign (a "Member" or "you"). By joining Sovereign or using the Software, you agree to this Agreement. If you do not agree to this Agreement, you must not join Sovereign or use the Software.
2. Definitions
In this Agreement:
- "Sovereign" means the paid membership operated by Viral Bricks LLC.
- "Software" means any software, tools, alerts, bots, web pages and content made available to Members through Sovereign, including any updates to them.
- "Member" means any person who holds, or has held, a Sovereign membership.
- "Terms of Service" means the Sovereign Terms of Service published at sovereignalerts.com/terms.
3. License
Subject to this Agreement, Viral Bricks LLC grants you a limited, personal, non-exclusive, non-transferable and revocable license to access and use the Software for your own personal use while your Sovereign membership is active. The Software is licensed, not sold. No other right or license is granted, whether by implication or otherwise.
4. Restrictions
You must not, and must not permit any other person to:
- copy, reproduce or record the Software, in whole or in part, except as needed for your own personal use;
- share your login, your access or any part of the Software with any person outside the membership;
- sell, resell, rent, sublicense, republish or otherwise redistribute the Software or anything obtained through it;
- reverse engineer, decompile, disassemble or otherwise tamper with the Software;
- scrape, crawl or use any automated means to access or extract data from the Software;
- use the Software, or anything obtained through it, to build, train or operate a competing product or service; or
- circumvent, disable or interfere with any access control, usage limit or security feature of the Software.
5. Abuse of Promotions
Members may not abuse any free trial, introductory offer, discount code, referral or affiliate program, or rewards program. Abuse includes, without limitation: creating or using multiple accounts or payment methods to obtain repeated trials or introductory pricing; sharing, reselling or publicly posting discount codes or offers intended for Members; self-referral or referral of fake accounts; and submitting false or manipulated content to earn rewards. Viral Bricks LLC may, at its sole discretion, terminate the membership of any Member who abuses a promotion, without notice and without refund, forfeit any associated rewards or commissions, and permanently ban that Member from Sovereign.
6. Ownership
The Software, and all intellectual property rights in it, are and remain the property of Viral Bricks LLC and its licensors. This Agreement does not transfer ownership of any part of the Software to you. All rights not expressly granted in this Agreement are reserved by Viral Bricks LLC.
7. Updates and Changes
Viral Bricks LLC may update, modify, suspend or discontinue any part of the Software at any time, with or without notice. This Agreement applies to every update made available to you. Viral Bricks LLC is not obliged to provide any particular update, feature or level of support.
8. Termination
This license ends automatically when your Sovereign membership ends for any reason. Viral Bricks LLC may also terminate this license immediately, without refund, if you breach this Agreement. On termination, you must stop all use of the Software. Sections 5 (Abuse of Promotions), 6 (Ownership), 9 (Disclaimer of Warranties), 10 (Limitation of Liability) and 11 (Governing Law) survive termination.
9. Disclaimer of Warranties
The Software is provided "as is" and "as available". To the fullest extent permitted by law, Viral Bricks LLC makes no warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title or non-infringement. Viral Bricks LLC does not warrant that the Software will be uninterrupted, error-free or accurate, or that it will produce any particular result.
10. Limitation of Liability
To the fullest extent permitted by law, the total liability of Viral Bricks LLC to you for any claim arising out of or relating to the Software or this Agreement is limited to the amount you paid us in the three (3) months before the claim arose. Viral Bricks LLC is not liable for lost profits, lost opportunities, cancelled orders, or losses on any item you bought or sold.
11. Governing Law
This Agreement is governed by the laws of the State of Oregon. Any dispute arising out of or relating to this Agreement or the Software will be resolved in the state or federal courts located in Oregon.
12. Relationship to the Terms of Service
The Terms of Service also apply to your use of Sovereign and the Software. If this Agreement conflicts with the Terms of Service on any matter of billing, cancellation or refunds, the Terms of Service and our Refund and Cancellation Policy prevail.
